Terms of Service.

These terms apply when you use agnte, the agnte desktop app, the agnte.ai website and any license or subscription you buy or start.

What are the agnte terms of service?

By starting a trial, buying a plan or using agnte you agree to these terms: you get a license to use agnte for the plan and period you paid for, payments are processed by Paddle as our reseller, you keep ownership of your code and data, and either side can end the agreement as described below.

1. Who we are

agnte ("agnte", "we", "us") is a software product provided by Contellect Technologies L.L.C S.O.C, Dubai, United Arab Emirates, the company you contract with under these terms. Questions about these terms: hello@agnte.ai.

2. Our reseller: Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's own terms apply to your purchase and are shown at checkout.

3. Licenses, trials and subscriptions

  • A license lets you use agnte on the number of devices and with the features of your plan, for as long as your trial or paid subscription is active.
  • The free trial lasts 7 days. One trial per person, company and device.
  • Subscriptions renew automatically at the end of each billing period (monthly or yearly) until you cancel.
  • Upgrades start immediately, with credit for the unused part of your current plan. Downgrades start on your next billing date. A switch to a different billing period (for example yearly to monthly) starts up to 2 days before that date, with credit for the unused days.
  • Your license key is personal to your organisation. Do not share or resell it. You can replace it at any time from the Manage subscription page.

4. Prices, taxes and payment

Prices are shown on the pricing page and exclude VAT and sales tax, which Paddle adds at checkout according to your country. Paddle charges your payment method and sends your receipts and invoices.

5. Cancellation and refunds

You can cancel at any time from the Manage subscription page. agnte keeps working until the end of the period you paid for and you are not charged again. You can get a full refund within 14 days of your first payment, as described in our refund policy.

6. Acceptable use

You may not use agnte to break the law, to attack or disrupt other systems, to infringe the rights of others, or to get around license limits (for example by tampering with license checks or sharing keys).

7. Your code and data

You keep all rights to your code, projects and outputs. agnte runs on your own machines; we only process the data described in our privacy policy. You are responsible for the AI model provider accounts you connect and their terms and charges.

8. Changes to the service

We improve agnte continuously and may change features. If a change materially reduces what your paid plan includes, we will tell you in advance and you may cancel.

9. Warranties and liability

agnte is provided "as is". To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

10. Ending the agreement

You can stop using agnte and cancel at any time. We may suspend or end a license that breaches these terms, or after a refund or chargeback of its payment.

11. Law and changes to these terms

These terms are governed by the laws of the United Arab Emirates. We may update them; the date below shows the latest version, and material changes are announced by email to license holders.
